Starting a business?

Long live ambition!

Starting your business doesn’t necessarily require a prestigious degree, significant capital, or years of experience.

One key: build on solid foundations.

CAE Experts stands by you, offering attentive listening and follow-up at every stage of the journey. Through assessments or advice, we help you test your project's viability and prepare the best commercial, financial, and legal strategy.

Project founders trust us with:

  • Commercial feasibility analysis

  • Structuring the future business (legal form, tax and social security options, etc.)

  • Financial study and projected budget

  • Business plan developement

  • Support in securing financing

  • Handling of administrative, legal, accounting, and tax formation formalities

  • Trademark registration

We bring together the firm's full range of expertise to give you a clear, strategic picture. What are the financial and tax implications of a given legal structure? What do your assumptions project financially? Our legal team supports you in drafting the company bylaws, choosing the manager's status, handling registration formalities, and meeting every legal obligation tied to your launch.

Who Is This For?

This service is designed for all types of project founders: a Moroccan entrepreneur launching their first business, an executive setting up a second company, a foreign investor opening a subsidiary or branch in Morocco, an independent professional structuring as a company, or a startup preparing to raise funds.

The initial choice, SARL (LLC), single-member SARL, SA (corporation), SAS (simplified joint-stock company), branch office, or sole proprietorship (auto-entrepreneur), affects taxation, the manager's social security coverage, and credibility with partners. It's the first thing we work through with you.

The Legal Steps for Setting Up a Company in Morocco

Setting up a company in Morocco follows a precise administrative process, which we carry out on your behalf:
  • Negative certificate: reserving the company name with OMPIC (Industrial & Commercial Property Office)
  • Registering a business address or leasing the registered office
  • Drafting and signing the bylaws, tailored to your project and partners
  • Depositing share capital in a blocked bank account, where required by law
  • Registering the incorporation documents and business tax (taxe professionnelle) enrollment
  • Registration with the Trade Register at the Commercial Court
  • Obtaining a tax ID, Common Business Identifier (ICE), and filing the notice of existence with the DGI (Tax Authority)
  • CNSS (social security) registration and, where applicable, legal incorporation notices

Process, Deliverables, and After Incorporation

After an initial scoping meeting (covering your project, partners, capital, and tax regime), we prepare the full file and manage the process with the relevant authorities. In most cases, the company is operational within a few business days.

Deliverables: registered bylaws, negative certificate, trade register extract, tax ID and ICE, CNSS registration, and a starter kit (compliant invoice templates, first-year obligations, and tax calendar).

And most importantly, you're not left on your own after registration: your first bookkeeping entries, your first employee, your first VAT return, we stay by your side right as everything begins.

FAQ: Frequently asked questions

How long does it take to set up a SARL in Morocco?

Once the file is complete (company name, registered office, signed bylaws), registration usually takes place within a few business days. Timelines vary depending on the city and how complete the file is, which is exactly what we make sure of.

What is the minimum share capital for a SARL?

Moroccan law doesn’t set a minimum capital requirement for a SARL; it simply needs to be appropriate for the project. That said, capital that is too low can make banks and partners hesitant. We help you set an amount consistent with your financing plan.

Can a foreigner own 100% of a Moroccan company?

Yes. In most sectors, a Moroccan company can be 100% owned by foreign shareholders, whether individuals or legal entities. Certain regulated activities are an exception. We also help with registration under the convertibility regime, to guarantee the repatriation of dividends.

Does the company need a registered address before it’s created?

Yes, a registered office is required for registration. A commercial lease, registration with a specialized domiciliation company, or use of an existing space: each option carries tax and practical implications, which we review with you.

We are here to structure, optimize, and secure the viability of your project.

So your ideas can take shape.
